This Terms of Use document (the “Agreement”) is a legally binding contract between you (“User”) and Teli, LLC—including all our subsidiaries, affiliates, successors, and assigns (collectively “Teli,” “we,” “us,” or “our”). This Agreement, together with our Privacy Notice (incorporated herein by reference) and any additional policies or agreements (such as subscription terms or data processing addenda), governs your access to and use of our call answering services and all associated software, websites, mobile applications, and digital platforms (collectively, the “Services”).
ARBITRATION NOTICE: Except as provided in Section 11 below—and unless you elect to opt out—you agree that any disputes between you and Teli will be resolved exclusively by binding, individual arbitration, thereby waiving your right to a trial by jury and participation in any class or collective action.

By accessing or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree with any part of these Terms, you must not use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement.
When you sign up for a paid subscription (“Customer Service”) with Teli, you agree to pay the fees associated with your chosen plan. Our subscription offerings include:
A recurring plan that renews automatically every 30 days, providing continuous access to our call answering services.
Provide a fixed number of call minutes (or calls, based on your billing model) each month.
Provide a predetermined number of call minutes (or calls) each week.
In either package, if your usage exceeds the allotted amount, additional minutes or calls will be automatically purchased at the rate and quantity set at the time of registration.
Under this plan, a fixed fee is charged for each call handled. This plan renews automatically every week, with the total fee for the week calculated and invoiced at the end of Sunday for the week that ended.
To access our Services, you must register by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Please notify Teli immediately if you suspect any unauthorized use of your account.
Ucallz provides professional call answering services designed to manage your incoming telephone communications. Our Services include:
We manage and respond to your incoming calls on your behalf.
Brief summaries or notifications of answered calls are sent to the designated number or email specified in your account settings.
While we strive to follow any call scripts you provide, we cannot guarantee that every call will be answered exactly according to your script due to real-time circumstances.
You have access to a dashboard to monitor call metrics and retrieve call summaries.
Ucallz reserves the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.
Accepted via credit card, ACH, or other methods. Late payments may incur fees or suspension.
Ucallz provides a self-service portal for you to review your usage data. We retain call logs and call summaries according to our data retention policies, typically for up to 24 months. After this period or upon account termination, we are not obligated to maintain your data.
We may use your contact details to send you important updates, account information, and service notifications. Critical notices regarding the Services may be sent regardless of your communication preferences.
While we strive to ensure our Services are available during your subscribed hours, scheduled maintenance, unexpected outages, or factors beyond our control may cause temporary interruptions. Teli is not liable for such disruptions.
We may periodically update our Services—including bug fixes, feature enhancements, and new functionalities. These updates might change or remove certain features, and continued use of our Services after updates confirms your acceptance of the changes.
Subject to these Terms, Teli grants you a limited, non-transferable, revocable license to access and use our Services solely for your internal business purposes. This license automatically terminates if you breach any part of these Terms.
You agree not to use our Services in any way that:
If you permit employees or agents (“End Users”) to use our Services, you are responsible for ensuring they comply with these Terms and our Privacy Notice.
All materials provided as part of our Services—including software, trademarks, logos, and other proprietary content (“Content”)—are owned, controlled, or licensed by Teli or its licensors. You are granted no rights to use such Content except as expressly permitted by this Agreement.
You may not reproduce, modify, distribute, or display any of our Content without prior written consent. Use of the “Teli” name, logo, or other trademarks is prohibited without our explicit authorization.
If you share feedback or suggestions regarding our Services, you grant Teli a worldwide, royalty-free, perpetual license to use such feedback. Ucallz is not obligated to implement any unsolicited submissions.
WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE AVAILABILITY, QUALITY, RELIABILITY, SUITABILITY, ACCURACY, OR COMPLETENESS OF OUR SERVICES. YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WHERE-IS” BASIS, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. No oral or written representation by Teli or its representatives shall create any warranty unless explicitly confirmed in a written document signed by Teli.
Our obligations under these Terms are your sole remedy for any issues with our Services. Without limiting any other provision herein, Teli shall not be liable for:
Teli is not liable for any failures or malfunctions of telephone, satellite, or wireless carriers providing parts of our Services. This includes, but is not limited to, situations such as calls not being answered, call summaries not being sent to the intended recipient, the call script not being followed as expected, technical issues preventing proper call handling, or any other malfunctions affecting the service. You must notify Teli's in writing within 14 days of any claim; otherwise, we assume no liability. In all cases, Teli aggregate liability is limited to a credit equal to your pro-rated monthly fee for the period in question, up to a maximum of 15 days' fees or $500.00 USD, whichever is less (the “Liability Cap”).
Teli offers call answering services on an “as is” and “as available” basis without guaranteeing that every call will be answered, that calls will strictly follow any provided script, or that every call summary will be delivered as requested. By using our Services, you agree that:

You agree to defend, indemnify, and hold harmless Teli, its affiliates, officers, directors, employees, agents, and successors from any claims, losses, damages, or expenses (including reasonable attorney fees) arising from or related to:

By accepting these Terms, you agree to resolve any disputes (“Dispute”) arising out of or related to (i) your use of our Services, (ii) this Agreement, or (iii) your relationship with Teli or any associated partner (“Transaction Parties”), exclusively through binding, individual arbitration under the Consumer Arbitration Rules of the American Arbitration Association (“AAA”). For this purpose, “Transaction Parties” includes any third party that provides goods or services in connection with our Services if they are named in a dispute alongside Teli. This means you waive your right to a trial by jury and to participate in any class or collective action.
For this section, a “Dispute” means any claim or controversy, regardless of the legal theory (including contract, tort, statute, or equity), arising before or after you begin using our Services. Examples include disputes over the provision, denial, or termination of our Services, statements or warranties made by Teli or its partners, or issues related to the protection of your personal information.
Any dispute regarding the validity, enforceability, or scope of this arbitration clause or claims involving intellectual property rights shall be resolved in court. Additionally, if you qualify for small claims court, you may pursue your individual claim there; however, if the matter is transferred to another forum, arbitration may then be required. This clause does not apply to any Dispute already pending in court prior to its inclusion.
This arbitration process is governed by the Federal Arbitration Act (“FAA”) and applicable federal laws. Arbitration under these Terms is final, with any award being binding and subject to very limited review in court. The arbitrator will apply all relevant substantive laws, and any judgment may be entered in a court of competent jurisdiction.
Even if a dispute is partially litigated in court, any additional or new claims may be subject to arbitration as described herein. If any part of this clause conflicts with any other agreement, this arbitration clause will prevail.
This arbitration clause will remain effective even after the termination of these Terms or any related agreement. Should any part be found invalid or unenforceable, the remainder shall continue in full force and effect.

Your notice must include your full name, mailing address, telephone number, and a clear statement that you opt out of this arbitration clause. Failure to opt out means you agree to resolve disputes through arbitration.
These Terms remain in effect as long as you use our Site or any Teli Services. To terminate this Agreement, you must notify Ucallz in writing and cease using our Services. Once terminated, your access to our Services will end immediately, but sections regarding communication, acceptable use, intellectual property, dispute resolution, and miscellaneous provisions will survive termination.
Teli is based in the United States. Our Services may not be accessible or appropriate outside the United States. If you access our Services from outside the United States, you do so at your own risk and are responsible for complying with local laws.
The relationship between you and Teli is strictly that of independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. Neither party has the authority to bind the other.
You may not assign or transfer this Agreement, in whole or in part, without Teli's prior written consent. Teli may assign this Agreement at its discretion. Any unauthorized assignment by you is null and void. Either party may assign this Agreement to a successor in connection with a sale of substantially all of its business.
This Agreement, along with any documents expressly incorporated by reference, constitutes the entire and exclusive understanding between you and Teli regarding our Services, superseding all prior oral or written agreements.
Teli's failure to enforce any provision of this Agreement does not constitute a waiver of that provision. If any part of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, that portion will be enforced to the maximum extent possible and the remainder will continue in full force.
Any notices from Teli will be sent via email to the address on file or by mail to our address on our website. Notices from you to Teli should be sent to support@Teli .com or the mailing address provided on the Site. For email notices, the date of transmission is considered the date of receipt.
Teli reserves the right to modify these Terms at any time by posting the revised Agreement on our website without prior notice. Your continued use of our Services after any such changes constitutes your acceptance of the updated Terms. We recommend that you review this Agreement periodically to stay informed of any modifications.
